These Terms and Conditions ("Terms") govern your access to and use of the ProspREach platform ("Service"), operated by Guy Oisgeld (ABN 56 720 457 028). By creating an account or using ProspREach, you agree to be bound by these Terms.
ProspREach is an AI-powered prospecting CRM designed for real estate professionals. The platform provides tools for managing buyer and seller contacts, automating SMS conversations using AI, detecting buyer and seller signals, managing open home sign-ins, and generating market insights.
You must be at least 18 years of age, hold a valid real estate licence or be employed by a licensed agency, and provide accurate registration information.
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at support@prospreach.com if you suspect unauthorised use.
You agree to comply with the Australian Spam Act 2003, Privacy Act 1988, and Do Not Call Register Act 2006. You must not send unsolicited bulk messages, import contacts without legitimate consent, misrepresent your identity, or attempt to access other Agents' data.
You are the data controller for all Contact information in your account. ProspREach acts as a data processor on your behalf. You represent that you have appropriate consent to store and communicate with every Contact. Open home sign-ins constitute implied consent under the Spam Act 2003.
AI-generated messages are sent from your configured phone number and appear to originate from you. You are responsible for reviewing and monitoring AI communications. You can disable AI auto-replies at any time. ProspREach is not liable for any loss or consequence arising from AI-generated messages, including but not limited to messages that contain inaccurate information, are sent at inappropriate times, or fail to detect contact intent correctly.
Payments are processed through our payment provider in AUD. Subscriptions renew automatically each month. Credits reset each billing cycle and do not roll over. Additional credits can be purchased as top-ups. All prices are exclusive of GST unless stated otherwise.
You may cancel at any time. Your account remains active until the end of the billing period. Data is retained for 30 days after cancellation. No refunds for partial months or unused credits.
We aim for high availability but do not guarantee 100% uptime. The platform is provided on an "as is" and "as available" basis. Software may contain bugs, errors, or unexpected behaviour. We are not liable for any loss, damage, or consequence arising from software defects, system errors, downtime, data processing delays, or incorrect automated actions, whether caused by our platform, third-party services, or the interaction between them. We will use reasonable efforts to identify and resolve bugs promptly, but we do not warrant that the platform will be error-free at all times. SMS delivery depends on carrier networks and is not guaranteed. Credits are consumed when a message is sent, regardless of delivery outcome.
You are solely responsible for the accuracy of data you enter into the platform, the contacts you import and communicate with, reviewing AI-generated messages before or after they are sent, any decisions made based on information provided by the platform, and ensuring your use of the platform complies with all applicable laws. ProspREach is not liable for consequences arising from incorrect data entry, accidental actions, or failure to review automated communications.
The ProspREach platform, including its code, design, AI models, and documentation, is our intellectual property. You retain ownership of all Contact data you upload. You grant us a limited licence to process your data solely to provide the Service.
Each Agent's data is logically isolated. One Agent cannot access another Agent's data. You may export your Contact data in CSV format at any time.
To the maximum extent permitted by law, the platform is provided "as is" without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We are not liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of clients, damage to reputation, or loss of data. Our total aggregate liability for any and all claims arising from your use of the platform is limited to the amount you paid to ProspREach in the 12 months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes or limits any rights under the Australian Consumer Law that cannot be excluded by agreement.
You agree to indemnify and hold harmless ProspREach, its owner, employees, and agents against any claims, losses, damages, costs, and expenses (including legal fees) arising from your use of the platform, your violation of these Terms, any Contact data you upload or import, any communications sent from your account whether manually or by AI, and any breach of applicable laws or regulations.
Both parties agree to attempt informal resolution for 30 days, then mediation via the Australian Disputes Centre. These Terms are governed by the laws of New South Wales, Australia.
Neither party is liable for failures caused by circumstances beyond reasonable control, including natural disasters, third-party service outages, telecommunications failures, government actions, or cyberattacks.
You are responsible for all message content sent from your account. AI-initiated messages are restricted to Monday-Friday 9am-8pm, Saturday 9am-5pm (recipient's local timezone). No AI messages on Sundays or public holidays. Manual agent messages are sent at the agent's discretion.
Agency accounts allow multiple Agents under one subscription. The Agency owner is responsible for payment and compliance. Each Agent has isolated data. Agency pricing is available on request.
We will notify users of material changes via email at least 14 days before they take effect. Continued use after changes take effect constitutes acceptance.
We may suspend or terminate your account for breach of Terms, illegal use, or non-payment. Upon termination, data is retained for 30 days then permanently deleted.
